Effective Date: March 20, 2025
Subject to your compliance with this Agreement, ZALE MART LTD (hereinafter referred to as "ZALE") grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible device owned or controlled by you, solely for your personal, non-commercial use. This license does not allow you to use the App on any device you do not own or control.
You agree not to:
The App, including all intellectual property rights, is owned by ZALE and its licensors. This Agreement does not transfer any ownership rights to you. All rights not expressly granted to you are reserved by ZALE.
The App may allow you to input or store data, such as food information, on your device. You retain ownership of any data you input, but you grant ZALE a non-exclusive, worldwide, royalty-free license to use, store, and process such data solely to provide and improve the App. You are solely responsible for the data you input and must ensure it complies with all applicable laws and does not infringe any third-party rights.
Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with its terms. Upon termination, you must cease all use of the App and delete all copies of the App from your devices. ZALE may also terminate this Agreement at any time for any reason.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ZALE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZALE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ZALE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ZALE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZALE FOR THE APP.
You agree to indemnify, defend, and hold harmless ZALE and its affiliates, officers, directors, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the App, your violation of this Agreement, or your infringement of any third-party rights.
This Agreement is governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in California.
ZALE reserves the right to modify this Agreement at any time. If we make material changes, we will notify you by posting the updated Agreement within the App or through other reasonable means. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Agreement.
The App may integrate with or provide links to third-party services. ZALE is not responsible for the content, privacy practices, or availability of such services. Your use of third-party services is subject to their respective terms and policies.
